Terms and Conditions for Always Trying Partnership VI

The sixth Always Trying Partnership will consist of a partnership of 20 shares (19 for sale and one retained by Mark Johnston Racing Limited (MJRL)) in two horses to run until October 2008. The partnership name will be the Always Trying Partnership VI.

Mark Johnston purchased two colts to race for the partnership at the Tattersalls' Craven Breeze Up Sales in April. They are a Fusaichi Pegasus colt out of the Private Account mare, Mrs Marcos, and a Giant's Causeway colt out of the Mining mare, Mining Missharriet. It is intended to campaign those horses as juveniles and three-year-olds. Prospective partners will be sold 1/20th shares on a “first come, first served” basis. Partners may acquire a 1/20th share in the partnership for the sum of £10,000 either by (a) payment of the sum of £10,000 as soon as possible, or at any rate by 30th April 2007 or such other date as MJRL may determine, or (b) payment of a deposit of £3,700 as soon as possible followed by eighteen equal monthly instalments of £350 each, the first such instalment being paid in April 2007 and concluding in October 2008. Mark Johnston Racing Limited will hold a 1/20 share at no cost but will forego its usual 5% commission on the sale of the horses. This will enable the partnership horses to run in the Mark Johnston Racing Colours which we hope will, in time, become synonymous with these successful partnerships. Mark Johnston Racing Limited will also take on any shares unsold by 1st May 2007 and will pay the usual fees into the partnership account, but will reserve the right to sell them on to new partners for a sum equal to the initial payment, all monthly payments to date, and 1% of the total for each month that has passed.

All monies will be paid into the partnership bank account from which the purchase price and all training and racing expenses will be drawn. All returns from prize money and/or sale of horses will be paid into the account as with any business partnership.

Mark Johnston Racing Limited will underwrite the partnership until October 2008 (i.e. in the event of funds running short, we will continue to train and race the horses until that date and we shall guarantee that partners will not be called upon to pay any more).

Mark Johnston Racing Limited will charge its standard training fees plus a management charge of £4,000 which will be passed over the course of the partnership to Mikaelle Lebreton and John Scanlon who will provide an extra point of contact, short monthly progress reports on the horses by e mail, e mail reports after each race, and regular photographic updates from the gallops. They will also ensure that all partners receive a quarterly financial statement and will endeavour to provide answers to any queries. MJRL will also subscribe to Weatherbys text messaging service (at no cost to the partnership) for all partners so that you are informed of all entries, declarations etc.. In addition to this all partners will be informed of entries and declarations to run by e-mail. MJRL’s standard terms and conditions will apply unless otherwise stated in these rules.

A meeting of partners will be held in the first quarter of each year (or on such other date as may be agreed by a simple majority of the partners).

When the partnership is dissolved all moneys will be pooled in the partnership account and the balance will be distributed equally between partners.

There shall be two ‘nominated’ partners (Mark Johnston Racing Limited and another one to be nominated) for Weatherbys registration purposes.

All partners will receive Mark Johnston Racing Limited’s monthly newsletter by post. Partners are all welcome to visit the horses by prior arrangement. Each partner will be guaranteed a minimum of one racecourse badge per runner provided they have notified Mark Johnston Racing of their intention to attend by the end of the day prior to racing.

There will be no subdivision of shares.

The horses will be named by the partners using a ballot system to agree the most popular suggestion. For this particular partnership, the horses will be named “Always C........”, as we have determined that successive ATPs will be given an alphabetical order, and that the horses’ names will match that order.

Favourites Racing is one of the brightest and most successful partnership operations in the country.
